Terms of Service

These Terms of Service ("Terms") govern your access to and use of DRVR's mobile applications, website, and related services (collectively, the "Services"), operated by Hybrid Arc Inc. ("DRVR", "we", "us", or "our"). By creating an account or using the Services you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Services. We may update these Terms as described in Section 16.

1. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use DRVR. Drivers and Circle partners must additionally meet all licensing, insurance, and verification requirements of the jurisdictions in which they operate.

2. Account & Roles

DRVR supports four roles: Rider, Driver, Base Administrator, and Circle Partner. You agree to provide accurate information, keep your credentials confidential, and notify us immediately of any unauthorized use.

3. The Service

DRVR is a private network that connects passengers with independent professional chauffeurs and authorized livery operators. DRVR is a technology platform; we do not own vehicles, employ drivers, or provide transportation services directly. Drivers are independent contractors of their respective licensed bases and operate under their own authority.

4. Pricing, Pre-Authorization & Payment

Quoted fares. Riders pay the fare shown at booking (subject to applicable taxes, regulatory fees such as Black Car Fund where required, tolls/fees disclosed in-app, optional gratuity, and add-ons you select).
Card pre-authorization. For many app bookings DRVR places a temporary authorization hold on your payment method (commonly about $120, or another amount shown in the app) to confirm the card can cover the trip. The hold is not the final charge. After the trip, DRVR captures the final amount due; unused authorization is released by your card issuer according to their timing (often within a few business days).
Website / prepaid bookings. Some website bookings charge or authorize at checkout via Stripe for the quoted amount (plus selected add-ons).
Drivers receive trip proceeds according to their base and DRVR arrangements. Drivers are responsible for applicable network/base contributions and taxes.
Circle Partners may earn commissions on referred trips, paid via Stripe Connect under their partnership terms.
All card payments are processed by Stripe. Failed payments may result in suspension of booking privileges.

5. DRVR Wallet & Ride Credit

DRVR may issue ride credit to your in-app wallet (for example after certain cancellations, driver no-shows, referrals, or promotions).
Credit is automatically applied toward eligible future DRVR bookings — no coupon code required.
Credit is not redeemable for cash, has no cash value, and cannot be transferred to another account.
Unless a promotion states otherwise, wallet credit does not expire and carries forward across future rides.
DRVR may reverse credit issued in error, fraud, or abuse.

6. Cancellations, No-Shows & Credits

Before arrival. Riders may cancel at no charge until the driver marks arrived at pickup. Any open card authorization for the trip is released.
After arrival. If you cancel after the driver has arrived (and before the trip starts), DRVR charges a $15 cancellation fee to your payment method as a separate cancellation charge. The same $15 is credited to your DRVR Wallet for future rides — it is not a cash refund. A portion compensates the assigned driver. You will see a cancellation fee notice in the app.
After the trip has started. Once the trip has started, you cannot cancel for an automatic refund in the app. Refunds after start require contacting contact@drvr.limo — the same policy most carriers use.
Driver or ops reassignment. If your assigned driver cannot continue after marking arrived at pickup, and DRVR reassigns another driver more than about seven minutes after that arrival, DRVR may add $15 wallet credit as a service recovery. Please keep waiting while we assign another driver. Early reassignment within that window (or before arrival) does not include credit and may update quietly when a new driver accepts.
Wallet credit applies automatically toward eligible future app bookings and is not redeemable for cash (Section 5).
Website / prepaid bookings. If a driver cancels after acceptance, DRVR redispatches when possible; card refunds are not automatic — email contact@drvr.limo. If no driver accepts before the request expires, DRVR issues an automatic full refund of the prepaid charge.
ASAP requests may expire after a short open window (about three minutes) if no driver accepts.
House prepaid Circles: cancelling a trip restores meter credit per your subscription terms. No-shows and waiting time may be billed as disclosed in the Services.

7. Child Car Seat Add-On

Riders and bookers may request an optional child car seat for +$35. Matching is limited to drivers who enrolled as carrying a seat and may take longer; advance booking is strongly recommended. Caregivers are responsible for selecting, inspecting, and securing the child. Drivers are not caregivers and do not place or harness the child.

Full notice and waiver: drvr.limo/car-seat (versioned; acceptance in the app or website constitutes agreement to the version shown at booking).

8. SMS Messaging

By providing a mobile phone number for trip notifications (including a guest passenger number), you consent to receive transactional SMS from DRVR related to that account or trip — such as booking confirmations, live share links, driver assignment, arrival alerts, trip status, and security codes.

Guest-trip texts are intended for numbers entered specifically for a passenger. Rider self-bookings generally rely on in-app notifications rather than guest SMS to the rider’s own profile number.

Message frequency: recurring; varies based on activity. Message and data rates may apply.

Reply STOP to opt out at any time. Reply HELP or email contact@drvr.limo for assistance. Carriers are not liable for delayed or undelivered messages. We do not share opt-in or consent data with third parties for marketing purposes. See our Privacy Policy and SMS Consent page.

9. User Conduct

You agree not to:

Use the Services for any unlawful purpose or in violation of any local, state, or federal law.
Harass, threaten, or harm other users, drivers, or DRVR personnel.
Damage vehicles or interfere with a driver's ability to operate safely.
Attempt to reverse-engineer, scrape, or interfere with the Services.
Misrepresent your identity or impersonate another person.

DRVR reserves the right to suspend or terminate any account that violates these Terms.

10. Driver & Partner Obligations

Drivers and Circle partners agree to maintain all required licenses, insurance, vehicle inspections, and base affiliations. Drivers who enroll as carrying a child car seat must only accept those trips when a suitable seat is available and must follow the in-app start-trip acknowledgment. DRVR may request documentation and may suspend any driver or partner whose status is in question.

11. Disclaimers

The Services are provided "AS IS" without warranties of any kind. DRVR does not guarantee continuous availability, on-time arrival, car-seat availability, or any specific outcome of a trip. To the fullest extent permitted by law, DRVR disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, DRVR's total liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid DRVR in the six (6) months preceding the claim, or (b) one hundred US dollars ($100). DRVR is not liable for indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

You agree to indemnify and hold harmless DRVR and Hybrid Arc Inc., their officers, directors, employees, and agents from any claims, losses, or expenses arising out of your use of the Services or your breach of these Terms.

14. Arbitration Agreement & Class Action Waiver

Please read this section carefully. It affects your legal rights.

Binding arbitration. Except as set forth below, you and DRVR agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, "Disputes"), will be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding. You and DRVR waive the right to a trial by jury or to participate as a plaintiff or class member in any class action or representative proceeding.

Rules & venue. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be held in New York, New York, or another mutually agreed location (or by video/teleconference when permitted by the rules). The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may bring an individual action in small-claims court. Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

30-day opt-out. You may opt out of this Arbitration Agreement by emailing contact@drvr.limo within 30 days of first accepting these Terms. Your notice must include your name, account email or phone, and a clear statement that you wish to opt out of arbitration. If you opt out, Disputes will be subject to the exclusive jurisdiction of state or federal courts located in New York, New York, unless applicable law requires otherwise.

Class action waiver. To the extent permitted by law, you and DRVR each waive any right to pursue Disputes on a class-wide basis; any arbitration or court proceeding will be conducted solely on an individual basis.

15. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 14.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app, website, or by email. Continued use of the Services after changes take effect constitutes acceptance. Separate product notices (such as the car seat waiver) may carry their own version dates.
